PREAMBLE:
These general conditions of sale are concluded between:
- Rene Gruau Company, limited liability company registered with the RCS Paris under No. 432 274 025, whose registered office is located in PARIS 75016, 5 rue du Docteur Blanche, VAT n °: FR 84432274025, having engaged in the sale of products derived from works of the artist Rene Gruau (reproduction of works from photographs of all sizes, paper, canvas support, lacquers, panels, screens)
- And any person or entity - acting outside this professional activity, hereinafter "Customer", as part of a system of distance trade.
These conditions apply only to customers who are physical individuals and / or legal, non-commercial and acting outside of any business, in the following areas:
Zone 1 : France and French overseas territories ( DOM TOM), Germany, Belgium, Cyprus, Denmark, Estonia, Finland, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Poland, Portugal, Czech Republic, United Kingdom, Slovakia, Slovenia, Sweden

The parties agree that their relations will be governed by this contract, excluding any other document, unless special conditions are granted by the Company René Gruau to the Customer.
General conditions of online sales have been updated on 01/11/2010.
This supersedes earlier versions.
SECTION 1: ORDERS
1.1 The placing of an order indicates full acceptance of these terms and conditions which are accessible at any time, and which the Customer has read, at the time of confirming the order. These terms and conditions posted on the 1st of November 2010 are those in force at the date of order.
1.2 The Customer has the option to place an order online from the online catalogue on this website.
The Costumer will select products and may at any time, consult the prices of products ordered and obtain a summary of his online order by clicking on the "Shopping Cart". A summary of the price of the goods and delivery shall be displayed thereon before any final confirmation of the order on the online sales page. In the case of customisation of a product, the Company René Gruau will indicate, applicable manufacturing and delivery delays in the order summary. Any order implies acceptance of the prices and descriptions of products available for sale.
1.3 The "double click" associated with the authentication and protection of all messages constitutes a signature and expresses acceptance of all transactions on this page.
1.4 Product Availability
The products ordered online are produced after confirmation of the order by the Customer and acceptance by the Company René Gruau, thereof, and are subject to the full payment of the product. The Company Rene GRUAU commits itself to fulfilling orders received on the website within the limits of available stocks of products, and to inform the customer in case of customisation of the product, of the time and availability thereof when the order is placed. In case of a lack of availability thereof, the Company Rene GRUAU is obliged to inform the customer and where appropriate, to refund the Customer promptly and in any event no later than thirty days after the confirmation of the order by the Customer.
SECTION 2: PRICE AND TERMS OF PAYMENT
2.1 Prices are quoted in Euros, all taxes included.
They reflect the VAT rate applicable on the date of the order and are exclusive of postage, depending on the cost thereof in force at the date of order.
2.2 The Client effects the payment:
- online, by credit card (credit card, e-card, Visa, Eurocard / Mastercard, American Express) via a secure payment type (PAYPAL)
SECTION 3: DELIVERY
The products are ensured until delivered by SARL René Gruau. (You should check that the carrier's insurance does cover damage to goods shipped in transit)
In addition, the customer agrees, to report any visible defects, and / or damages caused by the delivery noticed on the product within 48 hours after the actual delivery of the product(s), to the Company René Gruau, by writing to Customer Services:

Orders are processed upon receipt of confirmation of settlement, taking into account that the delivery address given by the Client must be complete, SARL René Gruau does not deliver to post boxes. SARL René Gruau reserves the right to refuse any order from a customer with whom there is a dispute over the payment of a previous or running order.
The delivery periods are as follows:
- 5-15 work days
Delivery times are given as accurately as possible, in working days, but remain in any event, indicative, due to possibilities of delay through supply and transportation.
If delivery is outside the European Union and French overseas territories, the Company René Gruau is not responsible for any custom or import duties that may be required.
However, if 30 days after the stated delivery date, the product was not delivered; the sale may be cancelled at the request of the customer, who may obtain a refund of the amounts already paid, except any compensation or damages and interests. (Article L 121-20-3 of the Consumer Code)
SECTION 4: TIME OF WITHDRAWAL
According to Article L 121-20 of the Consumer Code, the individual has a right of withdrawal of no more than seven (7) days after delivery, he can exercise this without cause or payment of penalties, except, where applicable, the cost of return. If this deadline falls on a Saturday, Sunday, or a holiday, it is extended until the next business day.
IMPORTANT: The customer who intends to exercise his right of withdrawal should return the product in perfect condition, packaged, and at his expense, to the following address: 5, rue du Docteur Blanche, 75016 Paris, France
After good receipt and verification of the state of the product, the Company René Gruau will proceed to fulfil the Customer's option:
- The exchange of product against a product of equal value,
- Refund of its price
- Or the issue of a credit voucher valid for one year.
SECTION 5: RISKS AND SAFEGUARDS
5.1 The Company René Gruau bears the risk related to transportation to delivery, that is to say until physical delivery of goods to the Customer (or intended recipient) at the time of the order or his representative who agrees to bear charges for the customer, to examine the goods, when received, in the presence of the carrier, stating in writing on the delivery receipt, any reserves for claim observed.
5.2 The products sold are in accordance with French law, in force and standards applicable on French territory and that of the European Union. All items displayed have legal guarantees of conformity (Article L 211-4 and sequels of the Commercial Code) and hidden defects (Articles 1641 to 1649 Civil Code).
The warranty applies when the product is received by the Customer.
Warranties do not cover misuse or excessive wear and tear, or corrosion of products. In order for the warranty to come into force and before any return, the Customer must immediately, and within forty-eight hours after delivery, give notification, by any means in writing (fax, letter, email)

of any disorders hidden and / or non-conformances he attributes to products and quote each aspect to the Company Rene GRUAU, to proceed in the detection of faults.
Articles L 211-4, L 211-5 and L 211-12 of the Consumer Code:
“The seller must deliver goods in conformity with the contract and is liable for any lack of conformity which exists on the issue.
- He must also address the lack of conformity resulting from packaging, instructions for assembly or installation when it was attributed to be his responsibility by the contract or when carried out under its responsibility.
To comply with the contract, the product must:
- 1° be fit for use usually expected of a similar object and, where applicable:
- Match the description given by the seller and possess the qualities that he has presented to the buyer as a sample or model;
- have the features that a buyer might reasonably expect given the public statements made by the seller, the producer or his representative, particularly in advertising or labelling;
Or 2 ° have the qualities defined by a common agreement by the parties or be suitable for any particular purpose that the buyer communicated to the seller and the latter accepted.
The action resulting from the lack of conformity is time-barred within two years from the delivery of the goods."
Section 1641 and 1648 paragraph 1 of the Civil Code:
"The seller must guarantee in respect of hidden of the thing sold that render it unfit for the purpose for which it was intended, or that decrease the use to such extent that the buyer would not have acquired it, or would have paid a lower price if he had known.
- The action resulting from material defects must be reported by the purchaser within two years after the discovery of the defect. "
SECTION 6: BILLING
The Company René Gruau will issue an invoice incorporating the mandatory provisions in Articles L 121-18 and L 121-19 of the Consumer Code, which will be sent when ordering online and after settlement of the price(s) of the product(s) ordered.
SECTION 7: PERSONAL DATA
7.1 In accordance with Law No. 78-17 of January 6, 1978, regarding the data, files and liberties, the Customer has the right to access and correct personal data concerning him. This right may be exercised by writing to:

7.2 The processing of information contained on the website www.gruaucollection.com is registered with the “Commission Nationale de l'Informatique et des Libertés” (CNIL) under the No. 1459525vO
7.3 Using collected data
No personal information is collected without the knowledge of a client. All personal information that we receive are those provided by the Customer, in his interactions with the page, such as form submission or entry of an order. Information relating to visits are stored for statistical processing and the Company René Gruau undertakes that there will be no reconciliation between this data of navigation and the personal data of customers.
Data collected on this page is intended for processing applications or orders and to get to know the customer better, and tailor the offer to the customer's needs.
They may be communicated to providers of the Company René Gruau, which may possibly contact the customers to offer them other services or benefits.

SECTION 8: LIABILITY
The Company Rene GRUAU commits itself to describe the products sold on its page with great accuracy. The photographs on the page, however, have no contractual value. In all cases, the Company Rene GRUAU cannot be made responsible if the breach of its obligations would be due to an unforeseeable or irresistible fact, to a third contract, or a case of force majeure, as defined by the French courts. Similarly, the Company Rene GRUAU is not responsible for any inconvenience or damage arising from the use of the Internet, including a break in service, external intrusion or the presence of computer viruses.
SECTION 9: INTELLECTUAL PROPERTY
All elements of the page www.gruaucollection.com, being visual or audio, including the underlying technology, are protected by copyright, trademarks and / or patents. The Company Rene Gruau has permissions and / or licenses necessary to sell products derived from the works of the painter René Gruau. Any Customer who has a personal Internet site and wishes to place these on his website, for personal use, a direct link to the website of the Company Rene GRUAU, must ask him prior for written permission. In all cases, any unauthorised link must be removed upon request of the Company Rene Gruau.
SECTION 11: DURATION
These conditions apply throughout the duration of online sales of the online sales webpage www.gruaucollection.com.
SECTION 12: DISPUTES
These conditions are governed by French law.
